Terms of Service
OVERVIEW
This website is operated by a sole trader based in New Zealand, known as Valley Design. The terms "we," "us," and "our" refer to Valley Design. The terms "you," "customer," and "client" refer to users of this website. These Terms of Service ("Terms") govern your use of the website www.valleydesign.co.nz ("the website"), the supply of goods and services, including removable wall decals, custom designs, design quotes, ("Design") and any transactions or communications with Valley Design.By accessing the website, requesting a quote, or purchasing products, you agree to these Terms, including additional policies referenced herein or available via hyperlinks. These Terms apply to all website users, including browsers, customers, merchants, and content contributors.
You may review the latest version of the Terms at any time on this page. We reserve the right to update or modify these Terms without prior notice. Changes take effect immediately upon posting. Continued use of the website constitutes acceptance of these changes.
GENERAL TERMS
- All transactions on this website are conducted in New Zealand Dollars (NZD).
- These Terms are governed by the laws of New Zealand, and any disputes will be subject to the jurisdiction of New Zealand courts.
- If any term or condition in this document is deemed unenforceable by a court of law, that term or condition will be severed from the remaining Terms. The enforceability and validity of the other Terms will remain unaffected.
- A "Business Day" refers to any day other than a Saturday, Sunday, or public holiday observed in New Zealand. Any timeframes or deadlines specified in these terms that fall on a non-Business Day will be extended to the next Business Day.
QUOTES AND PRICING
- Any quotes provided to you will outline the Design we agree to supply. All quotes are subject to these Terms.
- Quotes are valid for 14 days unless otherwise specified.
- Acceptance of a quote constitutes an agreement to purchase under these Terms.
- All prices are in New Zealand Dollars and are inclusive of any Goods and Services Tax ("GST") unless stated to be otherwise but are exclusive of delivery charges.
- All prices are correct when published. We reserve the right to alter prices at any time.
- In most cases, we require a 40% deposit of the total quoted price once the initial quote is accepted and prior to commencing any design work.
- Deposits are non-refundable if design work has commenced.
Changes to Custom Design Quotes:
If you request changes to the Design after accepting a quote (e.g., a modified or different design), additional fees or adjustments may apply. We will communicate any revised costs or timelines for approval before proceeding and an additional deposit may be required before we proceed with the changes.
If we are unable to fulfill the Design due to unforeseen circumstances, we will notify you promptly and provide options for alternatives, adjustments, or a refund, provided no design work has begun.
PAYMENT TERMS
- Full payment is required before production or dispatch of goods.
- Payment methods include Visa, MasterCard, and PayPal.
- Orders will only be processed upon receipt of payment.
If payment is not received by the due date, Valley Design reserves the right to cancel the order and retains ownership of all designs, materials etc.
Credit Card Security
All payments are processed via Stripe and are subject to Stripe's terms and conditions which can be found here. By proceeding with this form of payment, you accept those terms and conditions.
PRODUCT INFORMATION AND CUSTOMER EXPECTATIONS
We take care to ensure product descriptions, colors, and images are accurate. However, we are not responsible if information made available on this site is not accurate, complete or current.Due to variations in screen displays, actual colors may differ slightly. Variations in colours between the same designs printed at different times may occur due to the printing process. As a result, no refunds will be given for minor colour differences.
We reserve the right to correct any errors, inaccuracies, or omissions and to update or modify information on our website at any time without prior notice. This includes the right to cancel orders if inaccuracies are discovered, even after an order has been submitted.
Customer Expectations:
- Allow a production time frame for your Design of 5–7 business days (excluding delivery). Custom Designs may require additional time, which will be communicated in the quote or otherwise in writing.
- Our removable wall decals are made to be removable and compatible with most walls. However, we cannot guarantee they will work with all paint types or surface conditions. If you're unsure about your wall type or the suitability of our stickers, we recommend purchasing a small sample sticker from us for testing.
- Ensure walls are clean, dry, and cured for at least 14 days after painting before applying removable wall decals.
- Follow provided instructions to minimize risks of damage or improper adhesion.
- If decals fail to adhere, please contact us within 7 days of receipt. We will provide support but are not liable for issues caused by wall conditions or improper application.
To the fullest extent permitted by law, we disclaim all liability to you for any claims, except in cases where we have acted in bad faith. This limitation also extends to all officers, employees, contractors, agents, and any third parties we engage to fulfill our obligations or provide services under any agreement with you. None of these parties shall be held liable for any actions, inactions, or delays, whether or not these were contemplated or authorized under such agreements.
This limitation applies regardless of the nature of the claim or how liability may arise. However, it does not affect any non-excludable rights you may have under the Consumer Guarantees Act 1993.
In any case, our maximum liability to you will be limited to the value of any faulty products or services provided. Neither we nor our employees, contractors, or agents will be responsible for any loss or damage of any kind, regardless of its cause.
If you purchase or represent yourself as purchasing goods or services from us for business purposes, the protections provided under the Consumer Guarantees Act 1993 will not apply. Additionally, any conditions, warranties, or guarantees outlined in the Sale of Goods Act 1908 or implied by other laws or common law are excluded from these terms and do not apply to your transaction.
PRODUCT SAFETY AND HAZARDS
The goods sold on our website are not recommended for children under the age of 3 years due to potential choking, suffocation or ingestion hazards.Customer Acknowledgment:
- By purchasing our products, you acknowledge the potential risks and agree to use them responsibly, particularly in households with young children.
- We hold no responsibility for injury, harm, or death resulting from the misuse of our products.
DELIVERY AND FAILURE TO DELIVER
Delivery Charges & Timeframes- Delivery charges are calculated based on your location and displayed at checkout.
- Estimated delivery times are provided as a guide only and are subject to carrier availability, customs processing (for international orders), and unforeseen delays beyond our control.
- Orders are typically dispatched within 7 Business Days, with shipping times estimated between 3 - 15 Business Days, depending on your location within New Zealand or overseas. While we make every effort to meet these timeframes, we are not responsible for delays caused by postal services, customs, or external factors beyond our control.
- All products are securely packaged to minimize damage during transit. Orders may be shipped in a durable cylinder tube, a padded satchel bag, or other appropriate packaging.
- Once your order has been handed over to the carrier, risk of loss or damage transfers to you.
If an order is lost, damaged in transit, or delayed:
- You must notify us within 7 days of the expected delivery date.
- We will work with carriers to investigate and attempt to resolve the issue.
- Claims for lost or undelivered items may require additional verification or supporting documentation.
- We are not liable for delays, losses, or damages caused by third-party carriers, customs authorities, or incorrect shipping information provided by you.
- We do not guarantee delivery by a specific date and will not be responsible for any consequential losses due to delays (e.g., missed events, business disruptions).
- International customers are responsible for any import duties, taxes, or customs fees, which are not included in our prices or shipping costs.
Out-of-Stock Items
If a product is unavailable, we will inform you promptly and offer alternatives or a refund.
RETURNS AND REFUNDS
We are committed to complying with the Consumer Guarantees Act 1993.- Faulty Goods: If a product is faulty or does not meet the guarantees under the Consumer Guarantees Act, we will provide an appropriate remedy, which may include repair, replacement, or refund to the value of the faulty product. Please notify us within 14 days of receiving the item. All products claimed to be defective must be shipped to the address provided by email, with shipping costs initially covered by you. If the product is confirmed to be defective, it will be replaced or refunded within 14 days of its return. Acceptance of returned goods does not constitute an acknowledgment that they are faulty. If, upon inspection, the returned items are found not to be defective, no refund will be given. You may choose to have the order reshipped to you at your own expense.
- Change of Mind: We do not provide refunds for change-of-mind returns.
INTELLECTUAL PROPERTY RIGHTS
All content on this website, including designs, text, images, and graphics, is the intellectual property of Valley Design and is protected under New Zealand and international copyright laws.- Products are for personal use only and may not be reproduced, modified, or distributed without our written consent.
- Custom designs remain the intellectual property of Valley Design unless explicitly transferred in writing and may be used on our website, Facebook and Instagram pages for promotional purposes.
USE OF WEBSITE
By using our website, you agree:- Not to engage in unlawful or fraudulent activities.
- Not to interfere with the website's operation or security.
- To provide accurate information when completing transactions or communications.
LIABILITY LIMITATION
To the fullest extent permitted by law:- Valley Design is not liable for indirect, incidental, or consequential damages resulting from the use of our products or website.
- Our maximum liability is limited to the value of the goods purchased.
PRIVACY POLICY AND CONFIDENTIALITY
- Unless you opt to receive marketing messages from us, we will not contact you for promotional purposes. If you have chosen to receive ongoing communications, you may opt out at any time by contacting us via email or by using the "unsubscribe" link provided in our emails.
- Opting out of marketing communications will not prevent us from sending you emails or messages directly related to your orders or transactions.
- We may collect and use your personal information to provide products and services, process orders, administer payments, and maintain customer support.
- To enable certain website features, you will need to allow us to place data files ("cookies") on your device. Disabling cookies may limit the functionality of our website.
- We may disclose your personal information when required by law or when necessary to comply with legal obligations.
